A prestigious AM 100 law firm is seeking a talented and motivated Corporate Attorney to join their dynamic team. This is an exciting opportunity for an attorney with a solid background in fund formation for private equity and venture capital sponsors, as well as a strong understanding of the legal intricacies surrounding fund-related agreements and regulatory compliance.

Key Responsibilities:

• Drafting, reviewing, and negotiating private equity and venture capital fund formation documents, including partnership agreements, subscription agreements, and side letters.
• Advising clients on the legal and regulatory aspects of private equity and venture capital investments.
• Ensuring compliance with relevant laws and regulations in the fund formation process.
• Collaborating with senior attorneys and clients to deliver strategic legal solutions.
• Managing complex legal matters with a focus on private equity and venture capital structures.

Qualifications:

• 3+ years of experience in fund formation for private equity and venture capital sponsors and investors.
• In-depth knowledge of fund-related agreements, including LPAs, subscription documents, and fund terms.
• Familiarity with regulatory compliance matters and the ability to navigate complex legal frameworks.
• Strong analytical skills and attention to detail.
• Excellent communication and interpersonal skills.
• JD from an accredited law school and active state bar membership.
